  • Provide necessary assets, content, and access to systems as required
  • Make payments according to the agreed schedule
  • Respect intellectual property rights and confidentiality agreements
  • Comply with applicable laws and regulations

4. Intellectual Property Rights

Client-Owned Content: You retain ownership of all content, data, and materials you provide to us.

Work Product: Upon full payment, you will own the custom code and deliverables created specifically for your project.

TechFlow Mobile Rights: We retain rights to our proprietary frameworks, tools, methodologies, and general knowledge gained during the project.

Third-Party Components: Some projects may include third-party libraries or components subject to their respective licenses.

5. Payment Terms

Payment terms are specified in individual project agreements. Generally:

  • Projects require an initial deposit before work begins
  • Milestone payments are due upon completion of specified deliverables
  • Final payment is due upon project completion and delivery
  • Late payments may incur additional charges
  • All prices are exclusive of applicable taxes

6. Project Timeline and Deliverables

Project timelines are estimates based on the scope of work and client requirements. Delays may occur due to:

  • Changes in project scope or requirements
  • Client response time and feedback delays
  • Technical complexities or third-party dependencies
  • Force majeure events beyond our control

We will communicate any timeline changes and work with you to minimize delays.

7. Confidentiality

We understand the importance of protecting your confidential information. We agree to:

  • Use confidential information solely for project purposes

  • Not disclose confidential information to third parties without consent
  • Return or destroy confidential materials upon project completion

8. Warranties and Disclaimers

Service Warranty: We warrant that our services will be performed with professional skill and care in accordance with industry standards.

Limitation of Liability: Our liability is limited to the total amount paid for the specific project. We are not liable for indirect, incidental, or consequential damages.

Third-Party Services: We are not responsible for the performance or availability of third-party services, platforms, or app stores.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work and materials
  • Confidentiality obligations continue indefinitely
  • Intellectual property rights are governed by the original agreement

10. Support and Maintenance

Post-launch support and maintenance services are available under separate agreements. These services may include:

  • Bug fixes and technical support
  • Performance optimization and updates
  • Feature enhancements and modifications
  • App store compliance and updates

11. App Store Compliance

We will assist with app store submissions and compliance, but ultimate responsibility for app store approval rests with you. This includes:

  • Ensuring compliance with app store guidelines
  • Providing necessary documentation and assets
  • Managing app store accounts and developer credentials
  • Responding to app store reviews and feedback

12. Indemnification

You agree to indemnify and hold TechFlow Mobile harmless from any claims, damages, or expenses arising from:

  • Your use of the delivered app or services
  • Violation of third-party intellectual property rights
  • Non-compliance with applicable laws or regulations
  • Content or materials you provide to us

13. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

14. Governing Law
